1. Preamble & Purpose

The purpose of this Code is to establish the standards by which Ubongo identifies, de-risks, and facilitates investment across the African continent. We believe that for investment to be “bankable,” it must first be sustainable, inclusive, and impactful.

2. The “Ubongo Standard” for Admissibility

Every project or transaction facilitated by Ubongo must pass our proprietary screening process:

  • Bankability Mastery: Projects must demonstrate clear technical feasibility and a robust financial structure.
  • ESG Integration: Adherence to IFC Performance Standards and the Equator Principles is mandatory.
  • Continental Value: Projects must demonstrate how they support the AfCFTA or strengthen regional value chains.

 3. Investment Facilitation Principles

Ubongo commits to the following pillars in every transaction:

  • Transparency: We provide global capital with a clear, up-to-date picture of the regulatory and investment landscape in our target markets.
  • De-risking First: We will not market a project until a comprehensive risk mitigation strategy (covering currency, political, and operational risks) has been drafted.
  • Resource Mobilization: We prioritize “Blended Finance” models that use catalytic capital to lower the barrier for private institutional investors.

 4. Code of Conduct & Ethics
  • Anti-Corruption: Zero tolerance for bribery or unethical influence. All projects must undergo an Anti-Money Laundering (AML) and Know Your Customer (KYC) audit.
  • Independence: Ubongo maintains objective professional judgment. Our advice is driven by data and long-term African economic interests, not short-term commissions.
  • Fairness: We ensure that “Local Content” is not a checkbox but a core component of the deal, ensuring host communities benefit from the trade.

 5. Capacity Building & Knowledge Management

Linked to our AfroSkills legacy, we commit to:

  • Knowledge Transfer: Every major investment facilitated must include a “Knowledge Management” component where technical skills are transferred to local teams.
  • Standardization: We advocate for and implement ARSO Standards to ensure African products are tradeable globally.

 6. Dispute Resolution & Protection
  • Ubongo encourages the use of neutral, international arbitration seats for cross-border contracts to ensure investor confidence.
  • We facilitate the acquisition of Political Risk Insurance (PRI) to safeguard capital against non-commercial risks.
